As directors join the board, it is essential that they have a comprehensive orientation that successfully prepares them for their new role. Being a board member is a tough job in today’s ever-changing healthcare industry. In order for directors to have a successful start, it is critical that they receive the training they need in order to be an effective member of the board and help lead the organization in the right direction. Why the Supreme Court’s Healthcare Decision Means a Lot…and Not So Much

The two fundamental challenges to American healthcare today are how to improve value (quality divided by cost) and how to improve access (primarily by insuring the tens of millions of uninsured people). The healthcare reform bill seeks to address these twin challenges in ways that are complex and intertwined. The decision by the Supreme Court to uphold the ACA will have a profoundly positive affect on the access agenda, but surprisingly little impact on the value agenda. Dr. Robert Wachter discusses some big-picture truths and tradeoffs about this important piece of legislation. More Info

A New Era of Responsibility for Hospital Boards Under PPACA

The Patient Protection and Affordable Care Act (PPACA) and related regulatory rules have imposed new reporting and implementation requirements on tax-exempt hospital organizations that will play a role in shaping healthcare policy for years to come. The roles, responsibility, and effective board governance of such organizations will become paramount, not only for retention of tax-exempt status, but also for survival in the increasingly regulated healthcare sector. In this article, Milton Cerny and Allison L. Harms suggest key areas that warrant increased board involvement, provide further clarity on the role of governing boards reporting and implementing the Community Health Needs Assessment (CHNA) imposed by PPACA and IRS Code 501(r), and highlight key concerns of the IRS and the potential implications for non-compliance. Health System News: Revised Conditions of Participation for Hospital Governance Permits Single Governing Body for Multiple Hospitals

Hospital and healthcare systems should note that CMS has finalized the proposed provision, published on May 16, 2012, that would permit a multi-hospital system to have a single governing body. The final rule also augments the proposed rule through the addition of a requirement that a hospital/health system governing body include at least one member of the hospital’s medical staff (or a medical staff member of one hospital, if for a health system). This article from McDermott Will & Emery, LLP describes the key details of this CMS rule and when it goes into effect. More Info

Director Fitness Concerns: Confronting Sticky Issues

Disruptiveness is not the only director trait that may merit removal from the board. The board should also be positioned to deal with other, more sensitive director fitness issues, that arise in incidents occurring outside the boardroom, from the personal or business affairs of the individual director. This is particularly the case where matters of individual accountability are increasingly a part of the larger regulatory enforcement and commercial litigation environments. In this second article in a series on director qualifications, Michael Peregrine shares circumstances and advice on dealing with “sticky issues.” More Info
