Every board with which we work has asked us the following question: “What is the distinction between governance and management?” As a result, we view this as a chronic issue for boards. There are quite a few reasons why this question comes up so frequently. At a basic level, many hospital board members have never served on a board, so they literally do not know that the role of governing is different than that of managing. We believe there is a simple “template” for determining governance from management.
