Boards of both not-for-profit and for-profit organizations are under increased pressure to be competent, transparent, and accountable. There are new rules from the Securities and Exchange Commission regarding competencies of board members of publicly traded companies; 13 states have formal hospital board member certification programs; and the IRS’s Form 990 requires new levels of transparency regarding board members and leaders. In addition to these governance-related issues, healthcare reform is changing the very nature of care delivery and reimbursement. In this complex environment, CEOs and boards must work together to understand the challenges and make appropriate strategic decisions about how to best use their scarce resources.
Therefore, it is imperative that hospital and health system boards are led by capable, prepared individuals. Unfortunately, few boards have taken a hard look at what it takes to be a great board officer or committee chair, and even fewer have put into place a disciplined process for identifying, selecting, preparing, and transitioning board leaders (e.g., board chair, board vice chair, treasurer, secretary, committee chairs).
