Every two years, The Governance Institute surveys not-for-profit hospitals and healthcare systems nationwide on governance structures and recommended practices in the fiduciary duties and core responsibilities. It is the largest survey of its kind in the industry.
The surveys include:
- Board composition and structure
- Management participation on the board
- Board meetings, including content and frequency
- Board member compensation
- Board education
- Allocation of decision making responsibilities between system boards and subsidiary boards
Respondents are also asked to indicate whether they follow a list of recommended governance practices and rate their board’s performance on each. The practices reflect a consensus of governance experts and apply across the duties of care, loyalty, and obedience, as well as the six core responsibilities: financial oversight, quality oversight, setting strategic direction, board self-assessment and development, management oversight, and advocacy. The resulting report reveals trends in governance structure, activities, and performance, providing valuable information as to where governance is now and where it should be going in the future.
